New Delhi, April 5, 2001: Bharti Enterprises, India's leading telecom conglomerate, today announced a new strategic vision & framework for providing the consumer with high quality integrated Broadband Network services. This takes forward Bharti's high growth restructuring announced late last year.

In August last year Bharti restructured the operations of the group in order to develop a stronger focus on the challenges emerging in the Telecom Industry. This was done to ensure a sharper focus on it's business operations. This was truly an endeavour to align the group's activities proactively to dynamic market requirements and ensure high standards of service to its customers. In a further strategic move pursuant to it's philosophy of being 'customer & market driven', Bharti today announced the merger of its four companies Bharti BT Internet Ltd., Bharti BT V-SAT and Bharti Broadband Services & their holding company Bharti Telespatiale Ltd. into a single company - Bharti Broadband Networks Ltd.

The merger further reflects the group's recognition of the fast paced changes in the telecom sector and underscores its effort to put a sharper focus on the broadband market. The merger also follows Bharti's strategic decision to develop a common platform for developing integrated business solutions for Bharti's customers in different market segments in the areas of internet and broadband services.

Consequent to this new strategic vision and re-structuring, Bharti has taken over the stake of British Telecom in Bharti BT Internet Ltd. and Bharti-BT Ltd. (V-SAT Services)

According to Mr. Sunil Bharti Mittal, Chairman & Group Managing Director, Bharti Enterprises "The strategic marketing and business rationale of the merger was truly overwhelming. We believe that this merger will create a single entity which will emerge as one of the strongest, integrated broadband players in India".

Bharti has appointed Mr. Badri Agarwal as President of Bharti Broadband Networks, in addition to his capacity as President, Basic Services.
